1. Acceptance of Terms

By accessing or using the Tech Support Bids website and platform (the “Platform”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, you may not use the Platform.

Tech Support Bids may update these Terms at any time. Continued use of the Platform constitutes acceptance of any updated Terms.

2. The Platform

Tech Support Bids is an online marketplace that connects businesses seeking IT services (“Businesses”) with independent IT service providers (“Providers”).

Tech Support Bids is not a provider of IT services. We do not perform, supervise, manage, or control services provided by Providers.

Tech Support Bids operates as a technology platform only that facilitates communication and bidding between users.

3. No Employment or Agency Relationship

Providers are independent contractors and are not employees, agents, partners, or representatives of Tech Support Bids.

Tech Support Bids does not:

  • Employ Providers
  • Guarantee work or projects
  • Guarantee project completion
  • Guarantee qualifications, licensing, or insurance
  • Supervise or manage projects
  • Control how services are performed

4. User Agreements Between Businesses and Providers

All agreements for services are solely between the Business and the Provider.

Tech Support Bids is not a party to any agreement between users and is not responsible for:

  • Service performance
  • Work quality
  • Project timelines
  • Payment disputes
  • Damages, losses, or injuries
  • Acts or omissions of any user

5. Platform Fees

Tech Support Bids may charge fees for use of the Platform. All fees are non-refundable unless otherwise stated.

Tech Support Bids is not responsible for payments between Businesses and Providers.

6. Non-Circumvention

Users agree not to circumvent, avoid, or bypass the Platform to avoid platform fees.

If a Business and Provider connect through Tech Support Bids, they agree not to enter into direct agreements outside of the Platform for a period of twenty-four (24) months from the date of first introduction.

This restriction applies regardless of whether services are performed through or outside of the Platform.

Tech Support Bids reserves the right to charge fees, damages, or penalties in accordance with its agreements and policies.

7. User Accounts

Users agree to:

  • Provide accurate and complete information
  • Maintain the confidentiality of account credentials
  • Be responsible for all activity under their account

Tech Support Bids may suspend or terminate accounts at any time for any reason.

8. Acceptable Use

Users may not:

  • Submit false or misleading information
  • Submit fraudulent bids
  • Harass or abuse other users
  • Use the Platform for illegal purposes
  • Attempt to copy, hack, damage, or disrupt the Platform
  • Attempt to bypass Platform fees

9. Limitation of Liability

To the maximum extent permitted by law, Tech Support Bids shall not be liable for any:

  • Indirect, incidental, or consequential damages
  • Loss of profits, business, or data
  • Project failure or service disputes
  • Work quality issues
  • Provider or Business negligence
  • Any actions of users

In no event shall Tech Support Bids’ total liability exceed the total fees paid to Tech Support Bids in the twelve (12) months prior to the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless Tech Support Bids and its owners, officers, employees, and affiliates from any claims, damages, losses, liabilities, and expenses arising out of:

  • Your use of the Platform
  • Your violation of these Terms
  • Services performed by a Provider
  • Agreements between users
  • Disputes between users
  • Failure to pay for services
  • Any damages caused by you or your organization

11. Disclaimer of Warranties

The Platform is provided “AS IS” and “AS AVAILABLE.”

Tech Support Bids makes no warranties regarding:

  • Platform reliability or availability
  • Accuracy of bids or information
  • Quality of Providers
  • Project outcomes
  • Suitability of any user

12. Dispute Resolution and Arbitration

Any dispute arising out of or relating to these Terms or the Platform shall be resolved exclusively by binding arbitration administered by the American Arbitration Association (AAA) in the State of Delaware.

The parties waive the right to a jury trial and agree not to participate in any class action lawsuit.

13. Governing Law

These Terms shall be governed by and interpreted in accordance with the laws of the State of Delaware, without regard to conflict of law principles.

14. Termination

Tech Support Bids may suspend or terminate access to the Platform at any time, for any reason, without notice.

15. Entire Agreement

These Terms, along with the Privacy Policy, Acceptable Use Policy, Disclaimer, Non-Circumvention Policy, Provider Agreement, and Business User Agreement, constitute the entire agreement between users and Tech Support Bids.
