1. Purpose
Tech Support Bids operates as a marketplace that connects businesses seeking IT services (“Businesses”) with independent IT service providers (“Providers”).
This Non-Circumvention Policy is designed to protect the integrity of the Platform and ensure that Tech Support Bids is properly compensated for introductions and ongoing business relationships.
2. Non-Circumvention Requirement
By using the Platform, you agree not to circumvent, avoid, bypass, or attempt to bypass Tech Support Bids in order to avoid platform fees or conduct business outside of the Platform with any user you were introduced to through Tech Support Bids.
This restriction applies regardless of whether services are performed through or outside of the Platform.
Prohibited activities include, but are not limited to:
- Entering into direct contracts outside the Platform
- Creating side agreements to avoid Platform fees
- Referral or pass-through arrangements to avoid fees
- Working through another company or individual to avoid fees
- Providing or requesting contact information for the purpose of bypassing the Platform
- Accepting or making payment outside the Platform for work originating from the Platform
- Continuing work outside the Platform after an introduction is made through the Platform
3. Non-Circumvention Period
The non-circumvention obligation applies for a period of twenty-four (24) months from the date a Business and Provider are first introduced through the Platform.
4. Platform Introduction Defined
A Business and Provider are considered “introduced” through the Platform when:
- A bid is submitted
- A project request is submitted
- Messages are exchanged through the Platform
- Contact information is shared through the Platform
- A meeting or call is arranged through the Platform
- Any project-related discussion occurs through the Platform
5. Fees Owed in the Event of Circumvention
If Tech Support Bids determines that users have circumvented the Platform, Tech Support Bids reserves the right to charge:
- The full platform fee that would have been earned, or
- A circumvention fee of $5,000, or
- 20% of the total project value,
whichever amount is greater.
Users agree that this amount represents a reasonable estimate of damages and is not a penalty.
6. Monitoring and Enforcement
Tech Support Bids reserves the right to monitor platform activity and communications, to the extent permitted by law, to detect circumvention.
Users agree to cooperate in any investigation related to circumvention.
7. Remedies
If circumvention occurs, Tech Support Bids may:
- Suspend or terminate user accounts
- Charge applicable fees and circumvention penalties
- Pursue legal action
- Recover damages, legal fees, and costs
- Seek injunctive or equitable relief
8. Survival
This Non-Circumvention Policy survives termination of the user’s account and termination of use of the Platform.
9. Agreement
By using the Platform, you acknowledge that you have read, understood, and agree to this Non-Circumvention Policy.
